ART.1 – SCOPE
1.1 Sinopec hereby appoints Consultant as its non exclusive consultant for assisting Sinopec in bidding for Tender #:PROC-FD/CB/DO (RIGS)-1479/2010 and acquiring contracts for four rigs for the Project pursuant to the said Tender.
ART.2 - GOOD FAITH,FAIR DEALING AND CONFIDENTIALITY:
2.1 In carrying out their obligations under this Agreement the Parties will act in accordance with good faith and in a spirit of fair dealing.
2.2 The provisions of this Agreement,as well as any statements made by the Parties in connection with this Agreement shall be interpreted in good faith.
2.2 The Parties shall treat the contents of this Agreement as secret and confidential and shall not divulge the same to any other party whatsoever.A breach of this provision by either Party shall entitle the other Party to forthwith cancel this Agreement,in which case the Party in breach will be responsible for any and all losses resulting from such breach.
