16.MISCELLANEOUS
16.1 Parties’ Relationship.The relationship of the Parties is that of independent contractors.Nothing in this Agreement authorizes either Party or its employees to act as the other Party’s agent or representative.Neither Party’s employees,agents or contractors will,under any circumstances,be construed to be the other Party’s employees,agents or contractors.If the Parties use any inconsistent terms in any other context,that will refer to the spirit of cooperation between the Parties and not a different relationship.On occasion,3M may provide information to Seller about manufacturing,safety,health,environmental and other matters,but Seller exercises its own independent judgment on these issues.3M’s provision of,or failure to provide,any such information does not after Seller’s obligations under this Agreement.
16.2 Assignment,Subcontractors.Seller will not assign,transfer,or delegate any of its rights,duties,interests,or obligations under this Agreement including a subcontract (an “Assignment”) without 3M's prior written consent.An “Assignment” will also include any transfer of:(a) at least fifty percent of Seller’s assets or ownership; or (b) that part of Seller’s business that relates to this Agreement or those Seller assets employed in Seller’s performance under this Agreement.Any Assignment made without 3M’s prior written consent will be void and may,at 3M's election,be cause for termination of this Agreement.No one will be a third party beneficiary of this Agreement.
