8.2 Licensor agrees to indemnify and keep indemnified Licensee from and against costs,claims,demands,liabilities,expenses,damages,or losses arising out of third party claims in case of Intellectual Property Rights infringements and defects in the Licensed Technology.This indemnity shall cover Licensee’s liability to third parties,or third party claims against Licensee arising out of the or in connection with the use of the Licensed Technology and/or the Licensed Products manufactured,sold,operated,distributed etc.by Licensee or its sub-licensees,or Licensor’s failure to comply with any applicable laws and regulations.Licensor shall indemnify Licensee from losses caused by Licensor’s non-compliance with Clauses 2.3 and 2.4 up to the amount of the licence fees paid or to be paid by other (third party) licensee to Licensor under the respective licence agreement between Licensor and the other (third party) licensee.The indemnities under this Clause 8.2 shall apply whether or not Licensee or Licensor may have been negligent or at fault and does not limit any further compensation rights of Licensee.
