Verification.NOSE will permit MES and its representatives to enter all premises where NOSE may be using or storing information or material relating to any Protected Developments or the Confidential Information to inspect such information and material and to ascertain whether or not NOSE is complying with its obligations under this Agreement.This right of inspection may only be exercised during normal business hours of operation after MES has given NOSE at least two (2) Business Days advance written notice of its intention to conduct such inspection.MES and its representatives will respect any confidentiality of NOSE’s confidential information to which they are exposed while exercising MES’s rights under this Section 6.1(Verification).MES will not initiate or prosecute any legal proceeding in relation to an actual or suspected breach of this Agreement by NOSE,or take reasonable steps to prepare for such a proceeding,based solely on its exposure to such confidential information while exercising its rights under this Section 6.1 (Verification).
Writing.All references in this Agreement to “writing” and “written” include all forms of expressing and storing information,including information expressed in digital form or using computer code and information that is stored on electronic,magnetic,optical or any other medium.
Notices.Any notice or communication required or permitted to be given under the Agreement will be in writing and will be considered to have been given if delivered by hand,transmitted by facsimile transmission,mailed by prepaid registered post in Canada or delivered by a reputable and established private courier to (a) MES,at the address or facsimile transmission number set out on the first page of this Agreement and (b) NOSE,at the address or facsimile transmission number set out on the execution page to this Agreement,or in each case to any other address or facsimile transmission number that a party may give notice of in the manner set out in this Section 6.3 (Notices),acting reasonably and in good faith.All notices shall be deemed given three (3) Business Days after the date of mailing,at the time of delivery to a private courier or its agent for transmittal or upon transmittal of a telex or facsimile,as the case may be.
