A is willing to waive such requirements under the terms set forth herein and under no
other understanding between the parties.Any understanding by the parties regarding the subject
of this letter prior to executing this letter is void and unenforceable and is replaced with the terms
herein.Except as explicitly stated herein,all provisions of the Agreement shall remain in full
force and effect and unchanged by the terms of this waiver letter.
