Indemnification：It is hereby acknowledged by the seller that the buyer has entered into the above transaction with the intention to re-sell the rchased goods.Therefore,the seller acknowledges that,when the goods re-sold to a third party,the buyer will not be responsible nor assume any responsibility for direct,indirect,special ,consequential or incidental damages,or for any other claim rising out of the goods in connection with such re-sell.
Force Majeure:Considered as caused as Force Majeure are all unforeseen and unavoidable circumstances occurring which are beyond the parties willingness and control which take place after theconclusion of this contract and thus prevent either the total or partial fullfilment of this contract.
In case of Force Majeure the seller may postpone delivering the contracted goods for a period of time equal to the interruption caused by Force Majeure shall notify the other in writing within 3days from the start of such events.If the causes of Force Majeure prevail longer than 30 days,both the buyer and seller are entitled to cancel the non- delivered quantity of this contract.
