9.This Agreement shall inure to the benefit of and be binding upon the respective successors and permitted assigns (including successive,as well as immediate,successors and assigns) of each party hereto; provided,however,that his Agreement,and the rights and obligations of the parties hereunder,may not be assigned by either party without the express written consent of the other party.
10.Each party agrees that no failure or delay by the other in exercising any right,power or privilege hereunder will operate as a waiver thereof or the exercise of any other right,power or privilege hereunder.
11.The provisions of this Agreement may be modified or waived only by a separate writing signed by the parties hereto expressly so modifying or waiving such provisions.
12.This Agreement shall be governed by,and construed in accordance with,the internal substantive laws of the State of Ohio,without regard to conflicts of laws principles.
13.This Agreement may be executed in separate counterparts,all of which considered together shall constitute a single instrument.
IN WITNESS WHEREOF,the parties,by their duly authorized officers,have executed this Agreement as of the date first above written.
