Notwithstanding the use of separate contracts for in country (Onshore) and out of country (Offshore),it is the parties’ intention that the Contracts shall be coordinated relative to the independent and complimentary scopes of work,and this agreement is intended to further clarify the respective responsibilities and liabilities,and in certain respects both contracts shall be construed and shall operate as if there were only a single lump sum price contract under which all of the Work is performed.This Umbrella Letter Agreement sets forth certain understandings in respect of treating the Offshore Subcontract and Onshore Subcontract as if there were only one agreement for purposes of obligations and liabilities of the parties hereunder and does not amend or modify the Contracts,except for expressing such intention and dealing with specific matters not covered in the Contracts.
