A.In the event that BROKER secures APPLICANT anaccepted and dispersed loan,APPLICANT agrees to pay BROKER a fee equal to TWOpercent [2%] of the gross amount of the loan or line commitment at the time ofdispersal by APPLICANT when issued by Lender.Further,additional funding shallbe subject to fees set forth herein and agreed hereto.APPLICANT agrees thisagreement shall be a demand against proceeds generated out of a loan arrangedby BROKER and APPLICANT shall execute any and all documents necessary to affectsaid demand.Said fee shall be paid as follows:
1.In full at the time said loan is dispersed by theLender,Closing Agent,or Escrow Agent,and this agreement is in instructionsto said Lender,Closing Agent,or Escrow Agent to pay the fee from the proceedsof the loan directly to BROKER without further instruction from APPLICANT.
2.If the loan is not closed due to refusal orfailure of the part of the APPLICANT to go forward after he has accepted acommitment from our Lender,the fee is immediately due and payable in full.
E.If any non-material provision of this CONFIDENTIALITY AGREEMENT isheld to be invalid or incapable of being enforced,the remaining portions ofthis Agreement shall not be affected.
WHEREFORE,The Parties acknowledge that they have read andunderstand this Agreement and voluntarily accept the duties and obligations setforth herein
